Almaty, October 16, 2026 \u2013 Joint-Stock Company Kcell (hereinafter \u201cKcell\u201d or the \u201cCompany\u201d) (KASE: KCEL)<\/strong>, one of the major mobile operators in the telecommunications market of Kazakhstan, hereby informs its shareholders and investors of the decision of the Board of Directors to convene the Extraordinary General Meeting of Shareholders of Kcell JSC on November 17, 2026, at 11:00 AM (Almaty time) at the following address: 51 Alimzhanov Street, Almaty, Republic of Kazakhstan.<\/p>\n\n\n\n

Participant registration for the Extraordinary General Meeting of Shareholders will begin at 10:00 AM and last until 10:45 AM (Almaty time).<\/p>\n\n\n\n

The Extraordinary General Meeting of Shareholders of the Company will be conducted in person.<\/p>\n\n\n\n

In the event that the initial meeting does not take place on the specified date, it will be rescheduled to November 18, 2026, at 11:00 AM (Almaty time).<\/p>\n\n\n\n

October 19, 2026 (as of 00:00 AM Almaty time) is established as the record date for determining the shareholders registered by the Central Securities Depository in the register of securities holders who have the right to attend and vote at the Extraordinary General Meeting of Shareholders.<\/p>\n\n\n\n

For registration, participants must present an identity document. Proxies must present a power of attorney to attend the meeting with the right to vote.<\/p>\n\n\n\n

  1. On the voluntary reorganization of Kcell JSC via the merger of KazNet Media JSC into Kcell JSC.<\/li>\n<\/ol>\n\n\n\n

    Meeting Materials:<\/strong><\/p>\n\n\n\n

    Shareholders may review the materials for the Extraordinary General Meeting agenda by submitting a request along with documentation verifying their shareholder status to materialsgm@kcell.kz, or in person at the Company\u2019s registered office at 51 Alimzhanov Street, Almaty, 050051, Republic of Kazakhstan.<\/p>\n\n\n\n

    Agenda materials will be available for review at least ten days prior to the meeting date. Upon request, these materials will be sent to the shareholder within three business days of receiving the request. The shareholder shall be responsible for all copying and delivery costs.<\/p>\n\n\n\n
