Almaty, 1 September 2026. Kcell Joint Stock Company (“Kcell” or the “Company”) (KASE, KCEL),<\/strong> one of the leading operators in the telecommunications market of Kazakhstan, announces that the Company’s Board of Directors has decided to change the terms and conditions of the fourth and fifth tranches of bonds in the total amount of 40,000 000,000 (forty billion) tenge issued under the current bond program listed on the Astana International Exchange (AIX).<\/p>\n\n\n\n

The Company’s Board of Directors approved amendments to the Terms and Conditions\/ Offer Terms of Kcell JSC bonds with ISIN KZX000003157 and ISIN KZX000004593, providing for a change in the issue currency, par value currency and payment currency on bonds from the Kazakh tenge (KZT) to the Chinese yuan (CNY), recalculation of the issue volume and par value of one bond from September 1, 2026 (Effective Date), as well as the establishment of a fixed coupon interest rate of 4.20% per annum.<\/p>\n\n\n\n

These changes are subject to registration on the Astana International Exchange (AIX) in accordance with the applicable requirements of the exchange.<\/p>\n\n\n\n

The terms of the bond issue of Kcell JSC are changed in order to optimize the structure of the Company’s debt portfolio, reduce the cost of debt financing and improve the efficiency of debt management.<\/p>\n\n\n\n
